Terms of Service
Please review these terms of engagement. They constitute a binding legal agreement between you ("Client") and CyberSton.
1. Scope of Engagement & Contractual Bind
By submitting a Quote Questionnaire, requesting an urgent callback, or authorizing an invoice payment to CyberSton, you agree to comply with and be bound by these Terms of Service. These Terms govern all emergency recovery operations, server setup procedures, migration services, and monthly maintenance plans.
2. Service Authorization & Client Warranties
The Client warrants that they are the legal owner of the website, domain name, databases, and server configurations submitted for service, or have received explicit written authorization from the legal owner to commission repairs.
By providing administrative access details, the Client grants CyberSton engineers explicit permission to run diagnostics, clone site files, modify database tables, purge malware, update source code, and perform Nginx/Apache/IIS web server operations.
3. "No Fix, No Fee" Policy Definitions
To reduce Client risk, CyberSton operates under a strict **"No Fix, No Fee" Guarantee**. If our development team analyzes the client environment and determines that the reported incident cannot be resolved or bypassed, all service fees are waived and active invoices are canceled.
Crucial Policy Exclusions:
The Guarantee does NOT apply, and standard diagnostic or partial labor rates will be billed, if:
- External Failures: The website outage is caused entirely by expired domain registrations, third-party registrar lockouts, hosting account suspensions, or global ISP DNS routing failures.
- Credential Revocation: The Client revokes database/server access or changes credentials mid-incident before our engineers have finished the target diagnostic window.
- SLA Cooperation Failure: The Client fails to reply to critical support messenger queries for details needed to continue the recovery procedure for more than forty-eight (48) hours.
4. Payment, Taxes, and Stripe Billing
Prices provided in custom quotes are valid for seven (7) business days. Invoices must be paid via our secure Stripe Checkout interface using authorized credit cards. Standard invoices are due on receipt unless otherwise agreed in writing. For recurring maintenance plans, billing is triggered monthly in advance, and failure to settle payments within five (5) days of renewal will lead to automatic support suspension.
5. Disclaimer of Warranties
Except as explicitly stated in our SLA, CyberSton services are provided on an **"as is"** and **"as available"** basis. We make no warranty that our code patches or security setups will prevent all future cyber attacks, theme incompatibilities, or system crashes. It is the Client's responsibility to maintain routine backups and install CMS updates.
6. Limitation of Liability & Indemnification
To the maximum extent permitted by law, CyberSton, its directors, and engineers shall not be liable for any direct, indirect, punitive, or consequential damages. This includes data loss, database index corruption, lost business revenue, search engine blacklisting penalties, or client server suspensions during diagnostics and code editing.
The Client agrees to indemnify, defend, and hold harmless CyberSton from any claims, losses, or liabilities (including attorney fees) arising from database access authorizations, code modifications, or breaches of third-party licenses.
7. Governing Law & Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with local corporate courts. Any legal action or dispute arising from this contract shall be submitted to confidential binding arbitration in the local jurisdiction, rather than general court litigation.
